About Us: XOOCITY is a commercial metaverse that provides virtual land and scene building, planning, and design functions. Users can promote their products and participate in various social and business activities in this virtual space. The price fluctuations and transaction risks of various products, scenes, and virtual assets in XOOCITY metaverse are borne by users themselves. As a platform, XOOCITY only provides virtual space and related services and is not responsible for users' investment behavior or transaction results. Users should evaluate risks themselves and seek professional advice before making decisions.
Service Content
XOOCITY provides a series of products and services, including but not limited to virtual land, Hong Kong metaverse space, metaverse, and web3 technology. XOOCITY is a legal limited liability institution established in Hong Kong, aiming to help users build their own scenes and content in the metaverse. Users' virtual land and space can be traded, bought, or leased with the following behaviors to be followed:
1. Use of Site
a. Eligibility: You must be at least 18 years old and have the legal capacity to enter into this Agreement to use the Site. By accessing or using the Site, you represent and warrant that you meet these eligibility requirements.
b. License: Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Site solely for the purpose of buying and selling virtual land and digital assets on the Site.
c. Prohibited Conduct: You agree not to use the Site for any illegal or unauthorized purpose, to violate any laws in your jurisdiction, or to engage in any activity that is harmful to the Site or its users. Prohibited conduct includes, but is not limited to, the following:
i. Use of the Site for any illegal or unauthorized purpose, including, but not limited to, money laundering, terrorist financing, or other criminal activities;
ii. Use of any automated system, including, but not limited to, robots, spiders, or offline readers, to access the Site;
iii. Interfering with or disrupting the Site or its servers or networks;
iv. Attempting to bypass any measures we may use to prevent or restrict access to the Site;
v. Engaging in any activity that imposes an unreasonable or disproportionately large load on the Site or its infrastructure;
vi. Using the Site to harass, abuse, or harm another person or group, or to promote hate or discrimination;
vii. Impersonating or misrepresenting your affiliation with any person or entity;
viii. Uploading or transmitting viruses or other harmful code to the Site or its users;
ix. Collecting or harvesting any personally identifiable information from the Site or its users;
x. Encouraging or facilitating any violations of this Agreement or any other Company policies.
2. Virtual Land and Digital Assets
a. Ownership: You acknowledge that all virtual land and digital assets listed for sale on the Site are owned by the seller. Company does not verify the ownership or authenticity of any virtual land or digital assets listed on the Site and is not responsible for any disputes that may arise regarding ownership or authenticity.
b. Listings: You are solely responsible for the accuracy and completeness of any listings you create on the Site. You must accurately describe the virtual land or digital asset and any associated terms and conditions of sale, including any fees or commissions payable to Company.
c. Fees: Company charges a fee for each transaction completed on the Site. You agree to pay all applicable fees as set forth on the Site.
d. Payment: All payments for virtual land and digital assets purchased on the Site must be made in accordance with the terms and conditions set forth on the Site. Company is not responsible for any disputes that may arise regarding payment.
3. User Account Security
Users should properly keep their account information, including but not limited to usernames, passwords, etc., and not disclose their account information to third parties. If the account information is stolen or there is a security issue, users should immediately notify XOOCITY for processing.
4. User Privacy
XOOCITY strives to maintain the security and privacy of users' data, and users' personal information is only used to provide our products and services and will not be disclosed to any third party. XOOCITY will not collect any content and information unrelated to the platform, nor will it disclose the privacy and data of third parties. XOOCITY will strictly protect users' personal privacy and will not disclose users' personal information to any third party. However, in cases required by law, XOOCITY may provide users' personal information to relevant departments. Users should understand and agree to XOOCITY's collection, storage, and use of their personal information when using our products and services.
5. User Conduct
You agree to comply with all applicable laws and regulations in your use of the Site. In addition, you agree to refrain from engaging in any conduct that is harmful to the Site or its users or that interferes with the operation of the Site. Prohibited conduct includes, but is not limited to, the following:
a. Harassing, abusing, or harming another person or group, or promoting hate or discrimination;
b. Uploading or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
c. Impersonating or misrepresenting your affiliation with any person or entity;
d. Uploading or transmitting any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
e. Uploading or transmitting any viruses, worms, Trojan horses, or other harmful code;
f. Using the Site to engage in any activity that is illegal or unauthorized.
6. Declaration of Rights
XOOCITY, the virtual metaverse Hong Kong, is a commercial metaverse. Any consumption and income generated by users promoting their products and participating in various social, business and entertainment activities within the metaverse are considered personal behaviors, and the platform does not guarantee the price increase or the trading risks of various products, scenes, and virtual assets in the virtual world. Users' behavior within the XOOCITY metaverse should comply with relevant laws, regulations, and moral norms and should not infringe on the legitimate rights and interests of others.
7. Intellectual Property Rights
XOOCITY respects intellectual property rights. Users should ensure that their content and scene building do not infringe on any third-party intellectual property rights when using the company's products and services. If there is any infringement, users should bear corresponding legal responsibilities.
8. Scene Building and Pricing
Users can freely build their scenes using the virtual land and metaverse space provided by the company, but the content of the scene must comply with the provisions of this agreement. The content and pricing of the scene building are provided by XOOCITY and third parties, and users need to calculate the cost separately.
9. Agreement Modification and Interpretation
XOOCITY has the right to modify this agreement when necessary and will publish the modified agreement on the XOOCITY website. Users should regularly check the changes in this agreement. If users continue to use XOOCITY's products and services, it is deemed that they have accepted the modified agreement. XOOCITY reserves the right to the final interpretation.
10. Disclaimer of Warranties
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR SERVICES INCLUDED ON THE SITE. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. COMPANY DOES NOT WARRANT THAT THE SITE, ITS SERVERS, OR EMAIL SENT FROM COMPANY ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COMPANY WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SITE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.
11. Limitation of Liability
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLES, ARISING FROM OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SITE OR ANY CONTENT ON THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Company, its affiliates, officers, directors, employees, agents, and licensors from and against all claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the Site, your violation of this Agreement, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region of the People's Republic of China, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with this Agreement shall be submitted to the courts located in Hong Kong for resolution.
14. Entire Agreement
This Agreement constitutes the entire agreement between you and Company with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Company with respect to such subject matter.
